Commercial Licence Framework
Overview
For use cases that are incompatible with the AGPL-3.0 licence obligations (including but not limited to closed-source products, proprietary SaaS deployments without source disclosure, or embedding in proprietary systems), a separate commercial licence is available.
Terms Structure
Commercial licence terms are:
- Bespoke: Each commercial licence is individually negotiated and tailored to the specific use case of the licensee
- Per-licensee: No standard template or published pricing exists — terms are confirmed on a per-user basis at the sole discretion of Angus Bergman
- At sole discretion: The grant of any commercial licence is at the sole and absolute discretion of Angus Bergman. Angus Bergman reserves the right to decline any commercial licensing enquiry without obligation to provide reasons
- Written agreement required: Commercial licence terms are only effective when confirmed in a written agreement signed by Angus Bergman. No verbal representations, email correspondence, or other communications create binding licence terms
No representations, warranties, or commitments regarding commercial licence availability, pricing, or terms should be inferred from any source other than a signed written agreement.

What a Commercial Licence May Include
Subject to individual negotiation, a commercial licence may address:
- Right to use the software in closed-source or proprietary products
- Right to distribute without AGPL-3.0 source disclosure obligations
- Right to create derivative works without AGPL-3.0 copyleft requirements
- SaaS deployment rights without network copyleft obligations (AGPL-3.0 s 13)
- Custom support and maintenance terms
- Trade Mark usage permissions (subject to separate trade mark licence)
The inclusion or exclusion of any of the above is determined solely by the terms of the individual written agreement.
Limitation of Liability & Warranty Disclaimer
Open Source (AGPL-3.0) Users
To the maximum extent permitted by applicable law, including the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law (Schedule 2), the Commute Compute System™ is provided "AS IS" without warranty of any kind, either express or implied.
Nothing in this disclaimer excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. Where the Australian Consumer Law applies and cannot be excluded, the liability of Angus Bergman for breach of any non-excludable condition or warranty is limited, at Angus Bergman's option, to:
- (a) in the case of goods: replacement of the goods, repair of the goods, or payment of the cost of replacing or repairing the goods (per s 64A of the ACL); or
- (b) in the case of services: re-supply of the services, or payment of the cost of having the services re-supplied.
Subject to the above, to the maximum extent permitted by law, Angus Bergman shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising from your use of or inability to use the software.
Commercial Licence Users
Liability, warranty, and indemnification terms for commercial licensees will be specified in the individual commercial licence agreement.
Sole Trader Structure & Liability Mitigation
Commute Compute™ is operated by Angus Bergman as an individual sole trader under ABN 59 402 869 395. The following measures are employed to mitigate liability exposure under this structure:
Privacy & Data Protection
- Self-hosted architecture: Each user deploys and controls their own instance. The project maintainer does not collect, access, or store any user data. This structural isolation limits the scope of potential privacy claims.
- Independent deployment liability: Each user who deploys Commute Compute™ creates their own independent Vercel instance and Redis database integration. Users assume independent responsibility for the security and privacy of their own deployment, including compliance with applicable privacy laws in their jurisdiction.
- Privacy Act compliance: PRIVACY.md addresses all 13 Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth) as amended, including APP 8 cross-border data flows, APP 1.8 automated decision-making transparency, and Notifiable Data Breaches scheme preparedness (see SECURITY.md).
- Data minimisation: Only data necessary for commute calculations is collected. No analytics, telemetry, or behavioural tracking.
Consumer Law Compliance
- Australian Consumer Law (ACL): Non-excludable consumer guarantees under Schedule 2 of the Competition and Consumer Act 2010 (Cth) are expressly preserved (see Limitation of Liability above). Liability for breach of non-excludable conditions is limited to the remedies permitted under s 64A of the ACL.
- No misleading claims: All documentation accurately represents the system's capabilities and limitations. Live data is sourced exclusively from GTFS-RT feeds and is clearly labelled.
Supply Chain Integrity
- Dependency verification: All npm dependencies include cryptographic integrity hashes (
package-lock.json) to prevent supply chain attacks. - Automated compliance: 360+ automated audit checks enforce security, licensing, and data handling rules across the entire codebase.
- AGPL-3.0 source transparency: The full source code is publicly auditable, providing users with complete visibility into data handling practices.
Additional Protections for Commercial Deployments
Users considering commercial deployment or handling sensitive personal information should be aware of their obligations under:
- Privacy Act 1988 (Cth) and the Australian Privacy Principles
- Competition and Consumer Act 2010 (Cth), Schedule 2 (Australian Consumer Law)
- State and territory consumer protection laws applicable to their jurisdiction
- The commercial licence option, which provides additional warranty terms and dedicated support
Unfair Trading Practices Proactive Compliance
The Competition and Consumer Amendment (Unfair Trading Practices) Bill 2026 (Cth) introduces a general prohibition on unfair trading practices, with a commencement date of 1 July 2027. The Commute Compute System™ is designed for proactive compliance with this anticipated prohibition through:
- Transparent data sourcing: Transit data is sourced from the selected state transit authority feed where supported and clearly attributed. Scheduled/timetable fallback is labelled honestly and no synthetic or estimated data is presented as live.
- Accurate capability representation: Documentation accurately describes system capabilities, limitations, and requirements.
- Self-hosted architecture: Users deploy and control their own instances, preventing asymmetries in data access or control.
- Open source auditability: The AGPL-3.0 licence ensures full source transparency, enabling independent verification of system behaviour.
Third-Party Components
The Commute Compute System incorporates third-party components with their own licences:
| Component | Licence | Usage | |-----------|---------|-------| | State transit authority feeds | Provider-specific open-data terms | Transit data | | Bureau of Meteorology | CC BY 3.0 AU | Weather data | | OpenStreetMap | ODbL | Geocoding | | Node.js dependencies | Various (MIT, Apache, etc.) | Runtime libraries |
Third-party libraries retain their original licences.
Data Attribution Requirements
When displaying data from external sources, the following attributions are required:
- Transit Data: "Data from the selected state transit authority feed"
- Weather Data: "Weather data © Bureau of Meteorology"
- Map Data: "© OpenStreetMap contributors"
